10. PAYMENT

(a) Payment and billing information.​

Payments for the purchase of any product can be done with the use of PayPal, and Stripe Credit cards payment - Visa, MasterCard, American Express, Discover, Apple Pay & Google Pay, etc. By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for all charges you incur for the purchase of any Subscriptions or other Products (including any applicable taxes and other charges) (each such purchase, an “Order”). You are responsible for and agree to pay, all such charges. If we or our third-party payment processor cannot obtain authorization for charges to your payment method or if any amounts you authorize us to charge to your payment method are reversed or charged back for any reason, we may, at our option, in addition to any other remedies: cancel or suspend any undelivered portion of your Orders, make second and/or subsequent attempts to charge your payment method, and/or use any other lawful means to collect payment on any outstanding amounts due to us. You will remain responsible to pay all applicable charges for all Orders. You agree to provide and keep current a valid payment method. However, your failure to do so shall not constitute cancellation of any Order. In the event you want to change or update payment information associated with your SEAL TRADES account, you can do so at any time by logging into your account and editing your payment information.

(b) Pricing and availability. ​

All prices shown via the Services are in USD. Any applicable taxes and other charges, if any, are additional. We reserve the right to change our Subscription and other Product offerings, and to adjust prices as we may determine in our sole discretion, at any time and without notice; provided, however, that if we change the amounts or other charges associated with your then-current Subscription(s), we will provide advance notice of such changes via one of the means described in this terms and conditions. However, we will not be able to notify you of changes in applicable taxes before such changes become effective. The shipment of Products to you after our delivery of such notice will confirm your acceptance of such changes unless you cancel your subscription(s) in accordance with the cancellation policy set forth in these terms.

(c) Taxes. ​

We will collect applicable sales tax on Products. If an item is subject to sales tax, you agree that the amount of taxes shown at checkout may be adjusted. Several factors may cause this, such as variances between processor programs and changes in tax rates.

(d) Downloadable License​

In consideration for your acceptance of this Agreement and your payment of all applicable Fees as specified in these terms, SEAL TRADES grants you a personal, limited, non-exclusive, non-sublicensable, non-transferable, revocable downloadable license to access and use the Site, the Services, and the digital online course contents solely for your own personal purposes.

​You may access and use the Site, Services, and digital online course contents only in accordance with any instruction manuals, user guides, and other documentation as made available by SEAL TRADES from time to time (“Documentation”).​

This is the grant of a downloadable license, is not a transfer of title, and under this license you may not:

i. modify or copy the materials;

ii. attempt to decompile or reverse engineer any software contained on the website;

iii. remove any copyright or other proprietary notations from the digital course content materials; or

iv. Transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

11. ORDERING​

Orders can be placed 24 hours a day, seven days a week via our website. You will be granted an automatic license to access the digital course materials when your payment is processed and approved.

15. TESTIMONIAL, PHOTO AUTHORIZATION AND RELEASE AGREEMENT ("Release")

By submitting written or video testimonials, including photographs, you are certifying that the given Testimonial is true and accurate and reflects your honest personal experiences and beliefs, and that you made the Testimonial of your own free will.

Grant of Rights. You give Seal Trades LLC, its agents, affiliates, licensees, successors and assigns (collectively, “Business”) the right to use your name, testimonial, photograph (if one is supplied by you to Business), brief biographical information and the Testimonial in perpetuity and throughout the world. Business may use, copy, exhibit, publish and distribute the Testimonial, in whole or in part, in any manner, including but not limited to digital media (such as anywhere on the internet, social media, websites and apps) and in all other media now known or hereafter existing for advertising, marketing, publicity and promotion of Seal Trades LLC and its products and/or services and all other reasonable commercial business purposes. You further give permission for Business to modify the Testimonial so long as the original content is not significantly altered or misrepresented.

Use of Testimonial and Likeness. You understand and acknowledge Business (i) will be under no obligation to actually use the Testimonial, and (ii) has the right to use the Testimonial either with or without your name and/or photo (if one is supplied by you). You waive your right to approve the Testimonial before use by Business.

No Compensation. You acknowledge that you have received good consideration for this Release and no additional compensation is due to you, and that you will receive no compensation from Business other than any goodwill and publicity that you may receive relating to Business’s use of the Testimonial.

Indemnification.
